These Terms govern your access to and use of the Platform and establish the rights, responsibilities, and obligations of both SOCIOCRAFTS and its Users. By using the Platform, you acknowledge that you have read, understood, and agreed to comply with these Terms and all applicable laws and regulations.

If you do not agree with any provision of these Terms, you must immediately discontinue your access to and use of the Platform.

2. Acceptance of Terms

By accessing, browsing, registering for, purchasing from, subscribing to, or otherwise using any part of the Platform, you expressly acknowledge and agree that:

  • You have carefully read and understood these Terms.
  • You agree to be legally bound by these Terms, our Privacy Policy, Refund Policy (if applicable), and any other policies published by SOCIOCRAFTS.
  • Your use of the Platform constitutes your electronic acceptance of this legally binding agreement.

SOCIOCRAFTS reserves the right to modify, update, suspend, or replace these Terms at any time. Updated Terms become effective upon publication on the Platform unless otherwise stated. If you do not accept these Terms, you must not access or use the Platform.

3. Definitions

For the purposes of these Terms, the following definitions shall apply:

  • Account means a registered user profile created to access and use the Platform.
  • Buyer means any individual or entity that purchases or downloads digital products, subscriptions, or services through the Platform.
  • Content means all text, graphics, images, videos, audio, software, code, templates, documents, files, trademarks, logos, data, and other materials available on or through the Platform.
  • Creator means a user who creates, uploads, publishes, markets, licenses, or sells digital products, services, or other content through the Platform.
  • Digital Product means any downloadable or digitally accessible item offered through the Platform, including but not limited to templates, eBooks, guides, software, presets, digital artwork, courses, memberships, licenses, documents, and similar electronic products.
  • Marketplace means the digital marketplace operated by SOCIOCRAFTS that enables creators to list, promote, sell, and distribute digital products and enables buyers to purchase such products.
  • Platform means SOCIOCRAFTS.COM, all associated websites, applications, dashboards, APIs, automation tools, creator portals, software, and related services operated by SOCIOCRAFTS.
  • Services means all features, products, software, subscriptions, automation tools, marketplace services, payment-related functionality, analytics, customer engagement tools, and any additional services provided by SOCIOCRAFTS.
  • Subscription means any recurring or prepaid plan that grants access to premium features or services offered by SOCIOCRAFTS.
  • Third-Party Services means products, software, APIs, websites, payment gateways, cloud infrastructure, social media platforms, or other services operated by independent third parties and integrated with or accessible through the Platform.
  • User, you, or your means any individual, company, organization, partnership, or other legal entity that accesses or uses the Platform.
  • Website means the official SOCIOCRAFTS website located at https://www.sociocrafts.com and any associated subdomains.

4. Eligibility

To access or use the Platform, you represent and warrant that:

  • You are at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is higher. If you are under the applicable age of majority, you may use the Platform only with the consent and supervision of a parent or legal guardian.
  • You have the legal capacity and authority to enter into binding contracts under applicable law.
  • You will provide accurate, complete, and up-to-date information during registration and throughout your use of the Platform.
  • You will maintain the security and confidentiality of your account credentials and are solely responsible for all activities conducted through your account.
  • You will use the Platform only for lawful purposes and in compliance with these Terms and all applicable laws, regulations, and governmental requirements.
  • You are not prohibited by any applicable law, court order, sanction, or regulatory restriction from using the Platform or entering into this agreement.
  • If you access the Platform on behalf of a business, company, partnership, or other legal entity, you represent and warrant that you possess the necessary authority to bind that entity to these Terms.

SOCIOCRAFTS reserves the right, at its sole discretion, to refuse registration, suspend, restrict, or terminate any account if it determines that a user is ineligible, has provided false or misleading information, has violated these Terms, or poses a risk to the Platform, its users, or applicable legal requirements.

5. Account Registration, Security & Authentication

5.1 Account Registration

To access certain features of the Platform, including subscription services, automation tools, digital marketplace features, and creator services, you may be required to create and maintain a registered account.

By creating an account, you represent and warrant that:

  • All information provided during registration is accurate, complete, current, and truthful.
  • You have the legal authority to register and use the account.
  • You will promptly update any information that becomes inaccurate or outdated.
  • You will not impersonate another individual, business, or organization.
  • You will not create an account using false, misleading, or unauthorized information.

SOCIOCRAFTS reserves the right to reject, suspend, or terminate any account that contains inaccurate, fraudulent, misleading, or incomplete information.

5.2 Account Security

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username, password, authentication methods, and connected third-party accounts.

You agree to:

  • Use a strong and unique password.
  • Prevent unauthorized access to your account.
  • Notify SOCIOCRAFTS immediately of any suspected or actual unauthorized use, security breach, or compromise of your account.
  • Log out of your account after each session when using shared or public devices.

SOCIOCRAFTS shall not be liable for any loss, damage, unauthorized transactions, or misuse resulting from your failure to maintain adequate account security.

5.3 Authentication

SOCIOCRAFTS may require authentication methods, including but not limited to:

  • Email verification
  • One-Time Password (OTP)
  • Multi-Factor Authentication (MFA)
  • Device verification
  • Identity verification
  • Business verification where applicable

Failure to complete required authentication procedures may result in limited access, temporary suspension, or permanent termination of your account.

5.4 Account Responsibility

You remain fully responsible for all activities conducted through your account, whether performed by you or by another person using your credentials.

You agree not to:

  • Share your account credentials with unauthorized persons.
  • Sell, lease, transfer, or sublicense your account.
  • Allow another person to use your account without authorization.
  • Circumvent any security or authentication mechanisms implemented by SOCIOCRAFTS.

5.5 Account Suspension

SOCIOCRAFTS reserves the right, without prior notice where permitted by law, to suspend, restrict, or terminate any account that:

  • Violates these Terms.
  • Engages in fraudulent or unlawful activities.
  • Attempts to compromise Platform security.
  • Uses automation or integrations in violation of applicable policies.
  • Creates risk to other users or the Platform.

6. Our Services

SOCIOCRAFTS provides a cloud-based Software-as-a-Service (SaaS) platform offering digital business solutions, creator tools, automation services, digital marketplace functionality, payment facilitation, and related online services.

The services offered by SOCIOCRAFTS may evolve over time, and we reserve the right to introduce, modify, suspend, or discontinue any feature or service at our sole discretion.

Access to certain services may require an active subscription, payment of applicable fees, verification, or compliance with additional eligibility requirements.

6.1 SaaS Platform

SOCIOCRAFTS operates as a Software-as-a-Service (SaaS) platform that enables users to manage and grow their online business through web-based software solutions.

Platform features may include, but are not limited to:

  • User dashboards
  • Creator workspaces
  • Customer management tools
  • Digital storefront management
  • Product management
  • Analytics and reporting
  • Subscription management
  • Business workflow tools
  • Marketing features
  • Team collaboration tools
  • File management
  • Account administration

SOCIOCRAFTS reserves the right to modify, improve, remove, or replace Platform features at any time without creating any obligation to continue offering a specific feature.

6.2 Automation Services

SOCIOCRAFTS provides automation tools intended to improve business productivity and customer engagement.

Automation features may include, without limitation:

  • Automated messaging workflows
  • Comment-triggered messaging
  • Frequently asked question automation
  • Customer engagement automation
  • Lead management workflows
  • Campaign automation
  • Notification automation
  • Workflow customization
  • Scheduled automation
  • Analytics relating to automated interactions

Users acknowledge that automation services depend upon various technical systems and third-party platforms and may be affected by API limitations, software updates, service interruptions, policy changes, or restrictions imposed by third parties.

SOCIOCRAFTS does not guarantee uninterrupted operation, specific business outcomes, customer engagement levels, sales performance, follower growth, or marketing success resulting from the use of automation services.

Users remain solely responsible for ensuring that their use of automation services complies with all applicable laws, contractual obligations, and the policies of any connected third-party platforms.

6.3 Third-Party Integrations

The Platform may integrate with third-party software, websites, APIs, payment gateways, cloud providers, communication services, analytics platforms, social media platforms, and other external technologies.

Such integrations are provided solely for user convenience and functionality.

Users acknowledge and agree that:

  • Third-party services operate independently from SOCIOCRAFTS.
  • Continued availability of integrations depends entirely upon the respective third-party providers.
  • Third parties may modify, suspend, restrict, or discontinue their services at any time.
  • SOCIOCRAFTS has no control over third-party systems, policies, pricing, uptime, security practices, or operational decisions.
  • SOCIOCRAFTS shall not be liable for any interruption, incompatibility, loss of functionality, data loss, service degradation, account restrictions, API limitations, or damages arising from the use or unavailability of third-party services.
  • Users are solely responsible for complying with all applicable terms, privacy policies, and usage requirements of connected third-party services.

6.4 Marketplace Services

SOCIOCRAFTS operates a digital marketplace that enables eligible users to create, publish, promote, license, purchase, and distribute digital products and related services.

Marketplace features may include:

  • Creator storefronts
  • Digital product listings
  • Product purchases
  • Secure checkout
  • Digital downloads
  • Subscription products
  • Licensing options
  • Order management
  • Customer communication
  • Promotional tools
  • Marketplace analytics

SOCIOCRAFTS acts solely as a technology platform facilitating transactions between buyers and creators unless expressly stated otherwise.

SOCIOCRAFTS does not manufacture, create, endorse, guarantee, or warrant the quality, legality, accuracy, usefulness, safety, or suitability of products offered by independent creators.

Creators are solely responsible for:

  • The legality of their products.
  • Product descriptions.
  • Pricing.
  • Intellectual property rights.
  • Licensing terms.
  • Customer support obligations.
  • Compliance with applicable laws and regulations.

Buyers are responsible for reviewing product descriptions, licensing terms, compatibility requirements, and any applicable restrictions before completing a purchase.

SOCIOCRAFTS reserves the right to remove, suspend, restrict, or reject any listing, creator account, product, or marketplace activity that violates these Terms, applicable laws, or Platform policies, or that may expose SOCIOCRAFTS or its users to legal, financial, operational, or reputational risk.

7. Marketplace

7.1 Marketplace Overview

SOCIOCRAFTS provides an online digital marketplace that enables eligible users ("Creators") to create, publish, market, license, and sell digital products and services to other users ("Buyers"). The Marketplace serves solely as a technology platform facilitating digital commerce and does not ordinarily act as the seller, reseller, distributor, importer, exporter, or owner of products listed by independent Creators unless expressly stated otherwise.

Products offered through the Marketplace may include, without limitation:

  • Digital templates
  • E-books
  • Guides
  • Software and applications
  • Digital assets
  • Design resources
  • Educational materials
  • Memberships
  • Licenses
  • Downloadable files
  • Digital subscriptions
  • Other lawful digital products and services approved by SOCIOCRAFTS

SOCIOCRAFTS reserves the right to determine the categories of products that may be listed, modify Marketplace functionality, establish listing requirements, and remove any product or listing at its sole discretion.

Nothing in these Terms shall be interpreted as creating a partnership, agency, employment, franchise, or joint venture relationship between SOCIOCRAFTS and any Creator or Buyer.

7.2 Creator Accounts

Users wishing to sell products through the Marketplace must register and maintain an eligible Creator Account.

Creators represent and warrant that:

  • They possess all necessary rights, licenses, permissions, and legal authority to publish and sell their products.
  • Their products do not infringe any copyright, trademark, patent, trade secret, publicity right, privacy right, or other intellectual property or proprietary rights.
  • Product descriptions, pricing, licensing information, screenshots, promotional materials, and advertisements are accurate and not misleading.
  • They will comply with all applicable laws, regulations, tax obligations, and Platform policies.

Creators shall not upload, publish, distribute, or sell products that:

  • Infringe intellectual property rights.
  • Contain malicious software, viruses, spyware, ransomware, or harmful code.
  • Promote fraud or illegal activities.
  • Contain deceptive or misleading claims.
  • Violate applicable laws or regulations.
  • Are prohibited under SOCIOCRAFTS policies.

Creators remain solely responsible for the quality, legality, functionality, licensing, support, maintenance, updates, and compliance of their products.

SOCIOCRAFTS reserves the right to suspend, reject, remove, or permanently prohibit any Creator, listing, or product without prior notice where reasonably necessary to protect the Platform, its users, or comply with legal obligations.

7.3 Buyer Accounts

Buyers may browse, purchase, download, subscribe to, or otherwise access digital products available through the Marketplace subject to these Terms.

By purchasing a product, Buyers agree that they:

  • Are legally authorized to complete the transaction.
  • Will provide accurate billing and payment information.
  • Will comply with all product licensing terms.
  • Will not redistribute, resell, reproduce, sublicense, modify, or commercially exploit purchased products except as expressly permitted by the applicable license.
  • Will not attempt to bypass download restrictions, licensing controls, or digital rights management mechanisms.

Buyers acknowledge that product quality, compatibility, functionality, documentation, updates, and customer support may vary depending on the individual Creator.

7.4 Digital Products

The Marketplace primarily facilitates the sale and distribution of digital products.

Unless otherwise expressly stated:

  • Products are delivered electronically.
  • No physical shipment is involved.
  • Product availability may change at any time.
  • Certain products may require compatible software, hardware, internet connectivity, or third-party services.

The applicable license granted to a Buyer is determined by the Creator's product license and any additional licensing terms presented at the time of purchase.

Unless expressly permitted by applicable law or the product license, Buyers shall not:

  • Copy products for resale.
  • Redistribute purchased products.
  • Remove copyright notices.
  • Reverse engineer software.
  • Share download links with unauthorized persons.
  • Upload purchased products to file-sharing platforms.
  • Claim ownership of products created by another person.

SOCIOCRAFTS does not independently verify every product for quality, accuracy, originality, completeness, or compatibility and makes no warranty regarding any Creator-listed product.

7.5 Marketplace Transactions

All Marketplace transactions are conducted electronically through payment methods supported by the Platform.

When a Buyer places an order:

  • The Buyer authorizes payment for the applicable purchase price, taxes, and any additional charges.
  • The Creator authorizes SOCIOCRAFTS to facilitate payment processing and, where applicable, collect Marketplace fees or commissions.
  • Product access or download may be granted following successful payment authorization and verification.

SOCIOCRAFTS may delay, suspend, cancel, or refuse any transaction where it reasonably believes that:

  • Fraud or unauthorized activity has occurred.
  • Payment verification has failed.
  • Applicable laws require review or restriction.
  • Platform policies have been violated.
  • Security concerns exist.

SOCIOCRAFTS is not responsible for disputes arising directly between Buyers and Creators relating to product quality, licensing, compatibility, merchantability, fitness for a particular purpose, or post-purchase support, except to the extent required by applicable law or expressly provided in Platform policies.

7.6 Marketplace Fees & Commissions

SOCIOCRAFTS may charge fees for Marketplace services, including but not limited to:

  • Platform commissions.
  • Transaction fees.
  • Subscription fees.
  • Listing fees.
  • Payment processing fees.
  • Currency conversion fees (where applicable).
  • Other service charges disclosed before or at the time they become payable.

Applicable Marketplace fees, commission rates, payout schedules, and billing arrangements may be published on the Platform or communicated separately to Creators.

Creators authorize SOCIOCRAFTS to deduct applicable commissions, fees, taxes, refunds, chargebacks, penalties, or other lawful deductions before disbursing payouts.

SOCIOCRAFTS reserves the right to modify Marketplace fees, commission structures, payout thresholds, settlement schedules, and pricing policies at any time. Any such changes will apply prospectively unless otherwise required by applicable law.

Creators are solely responsible for reporting, collecting, remitting, and paying any taxes, duties, levies, or governmental charges applicable to their Marketplace activities, except where SOCIOCRAFTS is legally required to collect or remit such amounts on their behalf.

8. Subscriptions, Billing & Payments

8.1 Subscription Plans

SOCIOCRAFTS offers free and paid subscription plans that provide access to various features, tools, automation services, marketplace functionality, analytics, storage, and other premium services ("Subscription Services").

Subscription plans, pricing, features, usage limits, and eligibility requirements are displayed on the Platform and may be modified from time to time.

By purchasing a subscription, you agree to pay all applicable fees, taxes, and charges associated with your selected plan.

8.2 Billing

Subscription fees are billed in advance on a recurring basis (such as monthly or annually), unless otherwise specified.

By subscribing, you authorize SOCIOCRAFTS and its authorized payment service providers to automatically charge your selected payment method for all applicable subscription fees, taxes, renewals, upgrades, add-ons, and other authorized charges.

You are responsible for maintaining valid, current, and accurate payment information.

Failure to process payment may result in suspension, restriction, or termination of your Subscription Services.

8.3 Automatic Renewal

Unless cancelled before the renewal date, subscriptions automatically renew for successive billing periods under the then-current pricing and terms.

You may cancel automatic renewal through your account settings before the next billing cycle. Cancellation will generally become effective at the end of the current paid subscription period unless otherwise required by applicable law.

8.4 Pricing Changes

SOCIOCRAFTS reserves the right to modify subscription pricing, service plans, usage limits, features, or billing structures at any time.

Price changes will generally apply to future billing periods after reasonable notice where required by applicable law.

Continued use of the Subscription Services following the effective date of revised pricing constitutes acceptance of the updated pricing.

8.5 Payment Processing

Payments may be processed through authorized third-party payment providers.

SOCIOCRAFTS does not store complete payment card information and is not responsible for payment processing failures, banking errors, network interruptions, fraud prevention measures, or service disruptions caused by third-party payment providers.

Users remain responsible for ensuring that their payment methods are valid and sufficiently funded.

8.6 Failed Payments

If any payment cannot be successfully processed, SOCIOCRAFTS may:

  • Retry the transaction.
  • Temporarily suspend premium features.
  • Restrict Marketplace activities.
  • Cancel pending transactions.
  • Recover outstanding amounts through lawful means.
  • Terminate the subscription after repeated payment failures.

SOCIOCRAFTS reserves all rights to collect unpaid amounts owed by Users.

9. Refunds & Cancellation

9.1 Digital Products

Due to the nature of digital products, purchases are generally non-refundable once a product has been successfully delivered, downloaded, accessed, activated, or otherwise made available to the Buyer, except where required by applicable law.

9.2 Subscription Cancellation

Users may cancel their subscription at any time through their account settings.

Cancellation prevents future renewal but does not automatically entitle the User to a refund for the current billing period unless otherwise required by applicable law or expressly stated by SOCIOCRAFTS.

Unless otherwise specified, Users may continue accessing paid features until the end of the current subscription period.

9.3 Duplicate or Unauthorized Payments

If a User reasonably believes that a duplicate or unauthorized payment has occurred, the User should promptly contact SOCIOCRAFTS with supporting information.

SOCIOCRAFTS may investigate such claims and, where appropriate, issue a refund or other resolution in accordance with applicable law and payment provider requirements.

9.4 Chargebacks

Users agree not to initiate chargebacks or payment disputes without first contacting SOCIOCRAFTS to attempt to resolve the issue.

Improper, fraudulent, or abusive chargebacks may result in:

  • Immediate account suspension.
  • Marketplace restrictions.
  • Recovery of associated costs and fees.
  • Permanent termination of Platform access.
  • Legal action where appropriate.

9.5 Refund Exceptions

SOCIOCRAFTS may, at its sole discretion and without creating any ongoing obligation, provide refunds, credits, or other remedies in exceptional circumstances.

Any such decision shall not constitute a waiver of this Refund Policy or establish a precedent for future refund requests.

10. Acceptable Use Policy

Users shall use the Platform responsibly, lawfully, and in accordance with these Terms and all applicable laws and regulations.

Users agree not to:

  • Use the Platform for any unlawful, fraudulent, deceptive, or unauthorized purpose.
  • Violate the intellectual property rights of any person or entity.
  • Upload malware, viruses, ransomware, spyware, malicious scripts, or harmful code.
  • Interfere with or disrupt the security, integrity, availability, or operation of the Platform.
  • Attempt unauthorized access to any account, network, database, server, API, or system.
  • Circumvent technical restrictions, security measures, authentication systems, or access controls.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Platform except where expressly permitted by applicable law.
  • Scrape, harvest, or collect data from the Platform without prior written authorization.
  • Impersonate another individual, organization, or business.
  • Submit false, misleading, or fraudulent information.
  • Upload or distribute content that is defamatory, obscene, hateful, threatening, abusive, discriminatory, or otherwise unlawful.
  • Engage in spam, phishing, unsolicited communications, fake engagement, or deceptive marketing practices.
  • Use automation features in violation of applicable laws or the policies of connected third-party platforms.
  • Sell, distribute, or promote illegal, counterfeit, infringing, or prohibited digital products.
  • Attempt to interfere with Marketplace transactions or manipulate ratings, reviews, rankings, or pricing.
  • Use the Platform in any manner that could damage the reputation, security, functionality, or legitimate business interests of SOCIOCRAFTS or its users.

SOCIOCRAFTS reserves the right, in its sole discretion, to investigate suspected violations and to suspend, restrict, remove content from, or permanently terminate any account or access to the Platform without prior notice where reasonably necessary to protect the Platform, its users, or comply with applicable legal obligations.

11. User Responsibilities

By accessing or using the Platform, you agree to act responsibly, lawfully, and in accordance with these Terms. You are solely responsible for your activities, content, and interactions while using SOCIOCRAFTS.

You agree to:

  • Provide accurate, complete, and up-to-date information at all times.
  • Maintain the confidentiality and security of your account credentials.
  • Comply with all applicable local, state, national, and international laws, regulations, and governmental requirements.
  • Respect the intellectual property, privacy, and other legal rights of third parties.
  • Use the Platform only for its intended and lawful purposes.
  • Promptly notify SOCIOCRAFTS of any unauthorized access, suspected security breach, or misuse of your account.
  • Cooperate with SOCIOCRAFTS in investigating suspected fraud, abuse, or violations of these Terms.
  • Ensure that any content, products, or information you upload, publish, or transmit through the Platform complies with these Terms.

You acknowledge that you are solely responsible for all activities conducted through your account and for any consequences arising from your use of the Platform.

12. Creator Responsibilities

Creators using the Marketplace are solely responsible for the products and services they make available through the Platform.

Creators represent and warrant that they:

  • Own or have obtained all necessary rights, licenses, permissions, and authorizations to create, publish, market, and sell their products.
  • Have the legal authority to grant the licenses associated with their products.
  • Will provide accurate, complete, and non-misleading product descriptions, pricing, licensing terms, and promotional materials.
  • Will comply with all applicable laws, regulations, consumer protection requirements, tax obligations, and intellectual property laws.
  • Will provide appropriate customer support where reasonably required for their products.

Creators agree not to:

  • Upload infringing, counterfeit, pirated, or unauthorized content.
  • Sell products containing malicious software, viruses, spyware, ransomware, or harmful code.
  • Misrepresent product functionality, compatibility, ownership, or licensing.
  • Engage in fraudulent transactions, deceptive practices, fake reviews, or price manipulation.
  • Circumvent Marketplace policies or payment systems.

Creators remain solely responsible for:

  • Product quality.
  • Product functionality.
  • Product updates.
  • Licensing terms.
  • Customer support.
  • Product maintenance.
  • Legal compliance.
  • Tax reporting and payment obligations.

SOCIOCRAFTS may remove any Creator account, listing, or product that violates these Terms or applicable law without prior notice where reasonably necessary.

13. Buyer Responsibilities

Buyers are responsible for ensuring that their purchases and use of Marketplace products comply with applicable laws and the applicable product license.

By purchasing digital products through the Platform, Buyers agree to:

  • Provide accurate payment and billing information.
  • Review product descriptions, licensing terms, compatibility requirements, and applicable restrictions before completing a purchase.
  • Use purchased products only in accordance with the applicable license.
  • Respect the intellectual property rights of Creators and third parties.
  • Refrain from copying, redistributing, sublicensing, sharing, reselling, modifying, or exploiting purchased products except where expressly permitted.

Buyers shall not:

  • Circumvent licensing restrictions.
  • Remove copyright notices or proprietary markings.
  • Upload purchased products to file-sharing services or public repositories without authorization.
  • Claim ownership of products created by another person.
  • Use purchased products for unlawful or fraudulent purposes.

Buyers acknowledge that support, updates, compatibility, and product maintenance may depend upon the individual Creator unless otherwise expressly stated.

14. Intellectual Property Rights

14.1 Ownership of Platform Intellectual Property

The Platform, including its software, source code, object code, algorithms, databases, user interface, website design, graphics, logos, trademarks, trade names, branding, text, documentation, audiovisual materials, workflows, features, functionality, and all related intellectual property rights are owned by or licensed to SOCIOCRAFTS and are protected under applicable copyright, trademark, patent, trade secret, and other intellectual property laws.

Except as expressly permitted by these Terms, no rights, title, or interest in the Platform or its intellectual property are transferred to any User.

14.2 Creator Intellectual Property

Creators retain ownership of the intellectual property rights in the digital products, content, trademarks, branding, and materials they lawfully submit to the Marketplace.

By uploading or publishing content on the Platform, Creators grant SOCIOCRAFTS a worldwide, non-exclusive, royalty-free, sublicensable, and limited license to host, reproduce, process, display, distribute, market, promote, and make such content available solely for the purpose of operating, maintaining, improving, securing, and promoting the Marketplace and the Services.

This license terminates with respect to removed content, except to the extent necessary to comply with legal obligations, enforce these Terms, resolve disputes, maintain backups, or complete transactions initiated before removal.

14.3 User Content

Users retain ownership of content they lawfully create and submit to the Platform, subject to the licenses granted under these Terms.

Users represent and warrant that they possess all necessary rights, permissions, and legal authority to upload, publish, transmit, or otherwise make such content available through the Platform.

Users are solely responsible for any claims arising from their submitted content.

14.4 Restrictions

Except as expressly permitted by applicable law or with prior written authorization from SOCIOCRAFTS or the applicable rights holder, Users shall not:

  • Copy, reproduce, modify, adapt, distribute, sell, license, lease, or commercially exploit any portion of the Platform.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform.
  • Remove or alter copyright notices, trademarks, or proprietary markings.
  • Register or use any domain name, trademark, logo, or branding confusingly similar to SOCIOCRAFTS.
  • Use the Platform's intellectual property in a manner that may cause confusion, misrepresentation, or infringement.

SOCIOCRAFTS reserves all rights not expressly granted under these Terms.

15. User Content & Creator Content

15.1 Ownership of Content

Users and Creators retain ownership of the content, digital products, trademarks, logos, text, graphics, videos, images, software, documentation, and other materials that they lawfully upload, publish, submit, or otherwise make available through the Platform ("User Content").

Nothing in these Terms transfers ownership of User Content to SOCIOCRAFTS.

15.2 License Granted to SOCIOCRAFTS

By submitting User Content to the Platform, you grant SOCIOCRAFTS a worldwide, non-exclusive, royalty-free, transferable, sublicensable, and limited license to host, store, reproduce, process, transmit, display, distribute, modify (only as technically necessary), promote, and otherwise use such User Content solely for the purposes of:

  • Operating the Platform;
  • Providing the Services;
  • Processing Marketplace transactions;
  • Delivering purchased digital products;
  • Improving platform functionality;
  • Maintaining security;
  • Providing customer support;
  • Marketing and promoting the Platform, unless you opt out where such option is provided;
  • Complying with legal obligations; and
  • Enforcing these Terms.

This license remains effective for as long as the content is available on the Platform and thereafter only as necessary for legal compliance, dispute resolution, backups, fraud prevention, or enforcement of these Terms.

15.3 Content Standards

You represent and warrant that your User Content:

  • Is accurate and lawful.
  • Does not infringe any intellectual property or proprietary rights.
  • Does not violate privacy, publicity, or confidentiality rights.
  • Does not contain malicious software or harmful code.
  • Is not fraudulent, deceptive, defamatory, abusive, hateful, obscene, or otherwise unlawful.
  • Complies with these Terms and all applicable laws.

You remain solely responsible for your User Content and any legal consequences arising from it.

15.4 Content Moderation

SOCIOCRAFTS reserves the right, but has no obligation, to monitor, review, edit, restrict, suspend, or remove any User Content that it reasonably believes violates these Terms, applicable law, or the rights of others, or that may expose the Platform or its users to legal, financial, operational, or reputational risk.

16. Privacy & Data Protection

Your privacy is important to SOCIOCRAFTS.

Our collection, use, storage, disclosure, retention, and protection of personal information are governed by our Privacy Policy, which forms an integral part of these Terms.

By using the Platform, you acknowledge and agree that SOCIOCRAFTS may collect, process, store, transfer, and use your information as described in the Privacy Policy and in accordance with applicable data protection and privacy laws.

Users are responsible for ensuring that any personal data they upload or process through the Platform is collected and used lawfully and with any required notices or consents.

SOCIOCRAFTS implements reasonable administrative, technical, and organizational safeguards designed to protect personal information. However, no method of electronic transmission or storage can be guaranteed to be completely secure, and SOCIOCRAFTS does not warrant absolute security.

17. Third-Party Services & Integrations

The Platform may integrate with or rely upon third-party services, software, APIs, payment gateways, cloud infrastructure providers, communication providers, analytics tools, social media platforms, and other external technologies to provide certain features and functionality.

Such integrations may include, without limitation:

  • Social media platforms;
  • Payment gateways;
  • Cloud hosting providers;
  • Analytics providers;
  • Authentication services;
  • Email and messaging providers;
  • Artificial intelligence services; and
  • Other technology partners.

These third-party services operate independently of SOCIOCRAFTS and are governed by their own terms, conditions, and privacy policies.

SOCIOCRAFTS does not own, operate, or control such third-party services and shall not be responsible for:

  • Their availability or uptime;
  • Changes to their services or policies;
  • Data handling practices;
  • Pricing changes;
  • Service interruptions;
  • Security incidents;
  • API limitations; or
  • Any loss or damage arising from their use or unavailability.

Users remain solely responsible for complying with the applicable terms and policies of any third-party services they choose to connect to the Platform.

18. Communications & Electronic Consent

By creating an account, accessing the Platform, or using the Services, you consent to receive communications from SOCIOCRAFTS electronically.

Such communications may include:

  • Account notifications;
  • Security alerts;
  • Verification requests;
  • Payment confirmations;
  • Transaction receipts;
  • Subscription notices;
  • Service announcements;
  • Product updates;
  • Legal notices;
  • Customer support communications;
  • Marketing communications where permitted by applicable law and subject to your communication preferences.

Electronic communications may be delivered through email, SMS, push notifications, in-app notifications, dashboard notices, messaging services, or other electronic means.

You agree that electronic communications satisfy any legal requirement that communications be provided in writing.

You are responsible for maintaining accurate and current contact information and for promptly updating your account if your contact details change.

19. Taxes

Users are solely responsible for determining, reporting, collecting, remitting, and paying all taxes, duties, levies, withholdings, assessments, governmental charges, or similar obligations arising from their use of the Platform, Marketplace activities, sales, purchases, subscriptions, or other transactions, except where SOCIOCRAFTS is legally required to collect or remit such amounts.

Where required by applicable law:

  • Applicable taxes may be added to purchases or subscription fees.
  • SOCIOCRAFTS may collect tax identification information.
  • SOCIOCRAFTS may issue invoices, receipts, or tax documentation.
  • SOCIOCRAFTS may withhold or report information to governmental authorities.

Creators are solely responsible for complying with all tax registration, invoicing, reporting, filing, and payment obligations applicable to their business activities.

SOCIOCRAFTS reserves the right to adjust pricing, collect applicable taxes, or request additional tax-related information where required by law or regulatory authorities.

20. Service Availability, Maintenance & Updates

20.1 Service Availability

SOCIOCRAFTS endeavors to provide reliable, secure, and continuous access to the Platform and Services. However, the Platform is provided over the internet and depends on various technologies, networks, cloud infrastructure, third-party providers, and external systems. Accordingly, SOCIOCRAFTS does not guarantee that the Platform or any Service will be uninterrupted, error-free, secure, or continuously available.

Service availability may be affected by factors beyond SOCIOCRAFTS' reasonable control, including internet outages, telecommunications failures, cyberattacks, hardware failures, software defects, maintenance activities, third-party service interruptions, government actions, or force majeure events.

20.2 Scheduled Maintenance

SOCIOCRAFTS may perform scheduled or emergency maintenance to maintain, improve, secure, repair, or upgrade the Platform.

During maintenance periods, some or all features of the Platform may be temporarily unavailable, limited, or inaccessible. Where reasonably practicable, SOCIOCRAFTS may provide advance notice of scheduled maintenance; however, emergency maintenance may be performed without prior notice.

Maintenance activities shall not constitute a breach of these Terms.

20.3 Updates and Modifications

SOCIOCRAFTS may, at its sole discretion and without prior notice where permitted by law:

  • Add, remove, or modify Platform features.
  • Introduce new functionality.
  • Correct software defects or vulnerabilities.
  • Improve performance and security.
  • Modify user interfaces.
  • Update APIs or integrations.
  • Introduce or discontinue beta features.
  • Change technical requirements or supported devices.

Certain updates may require Users to update their browsers, applications, devices, or operating systems to continue using the Services.

SOCIOCRAFTS shall not be obligated to maintain any specific feature, functionality, version, or integration indefinitely.

20.4 Beta Features

From time to time, SOCIOCRAFTS may offer experimental, preview, early access, or beta features.

Beta features are provided on an "as available" basis for evaluation purposes and may contain defects, errors, incomplete functionality, or compatibility issues.

SOCIOCRAFTS may modify or discontinue beta features at any time without liability.

21. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM, MARKETPLACE, SOFTWARE, AUTOMATION TOOLS, DIGITAL PRODUCTS, CONTENT, APIs, AND ALL RELATED SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS.

SOCIOCRAFTS EXPRESSLY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION:

  • Implied warranties of merchantability;
  • Fitness for a particular purpose;
  • Non-infringement;
  • Quiet enjoyment;
  • Title;
  • Accuracy;
  • Reliability;
  • Availability;
  • Security; and
  • Compatibility.

Without limiting the foregoing, SOCIOCRAFTS does not warrant that:

  • The Platform will operate without interruption, delay, or error.
  • Defects or vulnerabilities will always be corrected.
  • The Platform will be free from viruses or harmful components.
  • Automation features will achieve any specific marketing, business, engagement, or commercial results.
  • Third-party integrations will remain available or compatible.
  • Marketplace products will meet a Buyer's expectations or particular requirements.

Any decisions made or actions taken by Users based on the Platform or Services are undertaken solely at their own risk.

Nothing in these Terms excludes or limits any warranty that cannot be excluded under applicable law.

22. Limitation of Liability

To the fullest extent permitted by applicable law, SOCIOCRAFTS, its affiliates, partners, licensors, officers, directors, employees, contractors, agents, and service providers shall not be liable for any indirect, incidental, consequential, exemplary, punitive, special, or similar damages arising out of or relating to:

  • Use of or inability to use the Platform;
  • Marketplace transactions;
  • Digital products;
  • Subscription services;
  • Automation services;
  • Third-party integrations;
  • Data loss;
  • Business interruption;
  • Lost profits;
  • Lost revenue;
  • Lost business opportunities;
  • Loss of goodwill;
  • Loss of reputation;
  • System failures;
  • Security incidents;
  • Unauthorized account access; or
  • Errors, omissions, or delays in the Services.

To the maximum extent permitted by law, the aggregate liability of SOCIOCRAFTS arising out of or relating to these Terms or the Services shall not exceed the total amount actually paid by the User to SOCIOCRAFTS for the Services giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the liability, or INR 10,000, whichever is lower, unless a higher minimum liability is required by applicable law.

The foregoing limitations shall apply regardless of the legal theory on which any claim is based, whether in contract, tort (including negligence), strict liability, statute, or otherwise, and even if SOCIOCRAFTS has been advised of the possibility of such damages.

Nothing in these Terms limits liability that cannot lawfully be limited or excluded under applicable law.

23. Indemnification

You agree to defend, indemnify, and hold harmless SOCIOCRAFTS, its affiliates, licensors, partners, officers, directors, employees, contractors, agents, successors, and assigns from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, settlements, penalties, fines, losses, costs, and expenses (including reasonable legal fees and professional costs) arising out of or relating to:

  • Your use of the Platform or Services.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Your infringement or alleged infringement of any intellectual property or proprietary rights.
  • Your User Content or Creator Content.
  • Products or services you publish or sell through the Marketplace.
  • Fraudulent, negligent, or unlawful conduct.
  • Any dispute between you and another User.
  • Your misuse of automation features or third-party integrations.
  • Any taxes, governmental charges, or reporting obligations arising from your activities on the Platform.

SOCIOCRAFTS reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In such circumstances, you agree to cooperate fully with SOCIOCRAFTS in the defense or settlement of the matter.

Your indemnification obligations shall survive the suspension or termination of your account and the termination or expiration of these Terms to the extent permitted by applicable law.

24. Suspension & Termination

24.1 Suspension or Restriction of Access

SOCIOCRAFTS reserves the right, at its sole discretion and without prior notice where permitted by applicable law, to suspend, restrict, limit, or temporarily disable your access to the Platform, Services, Marketplace, or any portion thereof if it reasonably believes that:

  • You have violated these Terms or any applicable Platform policy.
  • You have provided false, misleading, incomplete, or fraudulent information.
  • Your account has been compromised or is suspected of unauthorized use.
  • Your activities pose a security, legal, operational, financial, or reputational risk to SOCIOCRAFTS, its users, or third parties.
  • You engage in fraudulent transactions, payment abuse, chargeback abuse, spam, phishing, malware distribution, or other prohibited activities.
  • Your use of the Platform violates applicable laws, regulations, court orders, or governmental directives.
  • Suspension is necessary to investigate suspected misconduct, respond to legal requests, or protect the integrity, security, or availability of the Platform.

SOCIOCRAFTS may investigate suspected violations and cooperate with law enforcement or regulatory authorities where required by law.

24.2 Termination by User

You may terminate your account or discontinue use of the Platform at any time by following the account closure procedures made available through the Platform or by contacting SOCIOCRAFTS Support.

Termination of your account does not automatically relieve you of any payment obligations, taxes, fees, liabilities, or contractual commitments incurred prior to termination.

24.3 Termination by SOCIOCRAFTS

SOCIOCRAFTS may terminate your account, subscriptions, Marketplace access, or any Services immediately, with or without prior notice where permitted by applicable law, if:

  • You materially breach these Terms.
  • You repeatedly violate Platform policies.
  • Required payments remain unpaid.
  • Fraudulent or unlawful activity is detected or reasonably suspected.
  • Continued access creates legal, operational, or security risks.
  • SOCIOCRAFTS is required to do so by law, court order, or governmental authority.
  • The applicable Service or Platform feature is discontinued.

Upon termination, SOCIOCRAFTS may disable your access, remove or deactivate your account, restrict access to Marketplace services, and take any other reasonable actions necessary to protect the Platform and comply with legal obligations.

24.4 Effect of Termination

Upon suspension or termination:

  • Your right to access and use the affected Services immediately ceases.
  • Outstanding fees, taxes, commissions, and other payment obligations remain payable.
  • SOCIOCRAFTS may retain records where required by law or for legitimate business purposes.
  • Certain purchased digital products or records may remain available where legally or technically required.
  • SOCIOCRAFTS may delete or anonymize User Content in accordance with its Privacy Policy, legal obligations, and internal retention practices.
  • Termination shall not affect any rights, remedies, obligations, or liabilities accrued before the effective date of termination.

25. Survival

Any provision of these Terms that by its nature is intended to survive expiration or termination shall continue in full force and effect after termination or expiration.

Without limitation, the following provisions shall survive:

  • Payment obligations;
  • Taxes;
  • Intellectual Property Rights;
  • User Content licenses granted under these Terms;
  • Confidentiality obligations, where applicable;
  • Warranty disclaimers;
  • Limitation of liability;
  • Indemnification;
  • Governing law;
  • Jurisdiction;
  • Dispute resolution;
  • Record retention rights;
  • Audit rights, where applicable; and
  • Any other provision that reasonably should survive to give effect to its purpose.

The expiration or termination of these Terms shall not affect any rights or obligations accrued prior to such expiration or termination.

26. Governing Law & Jurisdiction

These Terms, the Platform, the Services, all Marketplace activities, and any dispute, claim, or controversy arising out of or relating to these Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

Subject to the Dispute Resolution provisions below, the courts having jurisdiction over the location of the registered office of SOCIOCRAFTS shall have exclusive jurisdiction to hear and determine any dispute, claim, or proceeding arising out of or relating to these Terms or the Services.

Nothing in these Terms shall prevent SOCIOCRAFTS from seeking interim, injunctive, or equitable relief before any court of competent jurisdiction where necessary to protect its intellectual property, confidential information, security, or other legal rights.

27. Dispute Resolution

27.1 Good Faith Negotiation

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, the Marketplace, or the Services, the parties agree to first attempt to resolve the matter through good-faith discussions and negotiations.

Users should notify SOCIOCRAFTS in writing, providing sufficient details of the dispute and the relief sought. The parties shall use reasonable efforts to resolve the dispute amicably within a reasonable period before commencing formal proceedings, unless immediate legal action is necessary.

27.2 Arbitration

If a dispute cannot be resolved through good-faith negotiation, and where arbitration is enforceable under applicable law, the dispute may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time.

Unless otherwise agreed by the parties:

  • The seat and venue of arbitration shall be the city in which the registered office of SOCIOCRAFTS is located.
  • The arbitration shall be conducted in the English language.
  • The arbitral award shall be final and binding upon the parties, subject to any rights available under applicable law.

Nothing in this clause prevents either party from seeking interim or conservatory relief from a court of competent jurisdiction where permitted by law.

27.3 Court Proceedings

Where arbitration is not applicable, enforceable, or legally permissible, or where a dispute falls within the jurisdiction of a court or tribunal under applicable law, such dispute shall be submitted to the competent courts having jurisdiction as specified in these Terms.

27.4 Limitation Period

To the extent permitted by applicable law, any claim arising out of or relating to these Terms or the Services must be commenced within the limitation period prescribed by applicable law. Failure to bring a claim within the applicable statutory limitation period may result in the claim being barred.

Nothing in this section limits or excludes any statutory rights or remedies that cannot lawfully be waived.

28. Force Majeure

Neither SOCIOCRAFTS nor any User shall be liable for any delay, failure, interruption, or inability to perform any obligation under these Terms to the extent such delay or failure results from events or circumstances beyond the reasonable control of the affected party ("Force Majeure Event").

Force Majeure Events include, without limitation:

  • Natural disasters, including earthquakes, floods, cyclones, hurricanes, tornadoes, landslides, lightning, or other severe weather events;
  • Fire, explosions, epidemics, pandemics, public health emergencies, or widespread disease outbreaks;
  • War, armed conflict, invasion, terrorism, civil unrest, riots, strikes, lockouts, labor disputes, or acts of public enemies;
  • Government actions, changes in law, sanctions, embargoes, court orders, regulatory restrictions, or actions of public authorities;
  • Internet outages, telecommunications failures, power failures, utility interruptions, or failures of cloud infrastructure;
  • Cyberattacks, distributed denial-of-service (DDoS) attacks, hacking incidents, ransomware attacks, malware, or other cybersecurity events;
  • Failures, interruptions, delays, or restrictions affecting third-party service providers, payment gateways, hosting providers, domain registrars, social media platforms, APIs, or other external services relied upon by SOCIOCRAFTS;
  • Hardware failures, software failures, infrastructure outages, or other technical events beyond the reasonable control of SOCIOCRAFTS; and
  • Any other event that could not reasonably have been anticipated or prevented through the exercise of reasonable care.

During the continuation of a Force Majeure Event, the affected party's obligations under these Terms shall be suspended only to the extent and for the duration that performance is prevented or materially delayed by the Force Majeure Event.

SOCIOCRAFTS shall use commercially reasonable efforts to restore affected Services as soon as reasonably practicable following the cessation of the Force Majeure Event. However, SOCIOCRAFTS shall not be liable for any loss, delay, interruption, unavailability, or damages arising directly or indirectly from such events.

If a Force Majeure Event continues for an extended period such that continued performance becomes commercially impracticable or impossible, SOCIOCRAFTS reserves the right to suspend, modify, or terminate any affected Service, subscription, Marketplace functionality, or these Terms, in whole or in part, without liability, subject to applicable law.

Nothing in this Section shall relieve either party of any obligation that accrued prior to the occurrence of the Force Majeure Event or any obligation that, by its nature, is intended to survive suspension or termination under these Terms.

29. Assignment

Neither these Terms nor any rights, licenses, benefits, or obligations granted hereunder may be assigned, transferred, delegated, sublicensed, or otherwise disposed of by any User, whether voluntarily, involuntarily, by operation of law, merger, acquisition, sale of assets, change of control, or otherwise, without the prior written consent of SOCIOCRAFTS.

Any attempted assignment, transfer, delegation, or disposition by a User in violation of this Section shall be null, void, and of no legal effect.

SOCIOCRAFTS may, at its sole discretion and without obtaining the User's consent, assign, transfer, delegate, subcontract, novate, or otherwise transfer any or all of its rights, interests, obligations, or responsibilities under these Terms to:

  • An affiliate or subsidiary;
  • A successor entity;
  • A purchaser of all or substantially all of its assets or business;
  • A surviving entity following a merger, acquisition, restructuring, reorganization, or corporate transaction; or
  • Any other entity as part of its legitimate business operations,

provided that such assignment does not materially diminish the rights afforded to Users under these Terms or applicable law.

These Terms shall be binding upon and shall inure to the benefit of the parties and their respective permitted successors, assigns, legal representatives, administrators, and heirs, as applicable.

No assignment or transfer shall relieve either party of any obligations or liabilities accrued prior to the effective date of such assignment unless expressly agreed in writing by the relevant parties or otherwise required by applicable law.

30. Severability

If any provision, clause, or part of these Terms is held by a court or other competent authority to be invalid, illegal, unenforceable, or contrary to applicable law, such provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the affected provision shall be deemed severed from these Terms.

The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions, all of which shall remain in full force and effect.

The parties intend that these Terms shall be enforced to the fullest extent permitted by applicable law.

31. No Waiver

No failure, delay, or omission by SOCIOCRAFTS in exercising any right, power, remedy, or privilege under these Terms shall operate as a waiver of that right, nor shall any single or partial exercise of any right, power, remedy, or privilege preclude any other or further exercise of that or any other right, power, remedy, or privilege.

Any waiver of any provision of these Terms shall be effective only if made expressly in writing and signed by an authorized representative of SOCIOCRAFTS.

A waiver of any breach or default shall not constitute a waiver of any prior, subsequent, or continuing breach or default.

32. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, Cookie Policy (if applicable), Acceptable Use Policy, and any other policies, guidelines, or legal notices expressly incorporated by reference, constitute the entire agreement between you and SOCIOCRAFTS concerning your access to and use of the Platform and supersede all prior or contemporaneous communications, negotiations, representations, understandings, proposals, or agreements, whether oral or written, relating to the same subject matter.
